These Terms of Service ("Terms") govern your access to and use of the applications, websites, and services provided by Robot Duck LLC ("Robot Duck," "we," "us," or "our"), including the TieDown fleet management application and related web portals at manage.robotduck.app and www.robotduck.app (collectively, the "Service"). By creating an account, installing the application, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
These Terms incorporate by reference our Privacy Policy and Legal Disclaimer. The Legal Disclaimer contains important aviation-specific warnings, warranty disclaimers, limitations of liability, and indemnification provisions that apply to your use of the Service. You should read both documents in full.

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. By creating an account you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you are accepting these Terms on behalf of an organization (such as a flight school, aircraft partnership, or flying club), you represent that you have authority to bind that organization to these Terms.
To use TieDown and certain other services, you must create an account by providing a name and a valid email address. You may also be invited to join an existing organization by an administrator, in which case your account is created based on information supplied by that administrator. You are responsible for the accuracy of the information you provide and for keeping it current.
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at support@robotduck.app of any unauthorized access to your account. Robot Duck is not liable for any loss or damage arising from your failure to safeguard your credentials. Accounts are personal and may not be shared; each individual user of an organization must have their own account.
TieDown is organized around "Organizations," which represent flight schools, aircraft partnerships, flying clubs, or similar operating entities. The individual who creates an organization, or who is designated as an organization administrator, is referred to as an "Administrator." The Administrator is responsible for managing the organization's subscription, adding and removing users, assigning roles and permissions, and overseeing the data entered into the organization.
TieDown provides role-based access controls (administrator, instructor, pilot, student, viewer) and a permissions system that Administrators may configure. You agree to use the Service only within the roles and permissions assigned to you by your organization's Administrator. Robot Duck is not a party to, and has no responsibility for, the internal governance of any organization, including disputes between organization members, decisions about who may access or modify data, or the removal of users from an organization.
Administrators agree that they: (a) are authorized to accept these Terms on behalf of their organization; (b) are responsible for ensuring that all users within their organization comply with these Terms; (c) will obtain any consents required under applicable law before adding users to the organization; (d) will promptly remove users who are no longer authorized to access the organization's data; and (e) are responsible for the accuracy of data entered by any user within their organization.
TieDown is offered on a subscription basis. Subscription tiers, pricing, and per-aircraft or per-user allowances are described on our website and within the application, and may be updated from time to time. The Administrator of an organization is the billing contact and is responsible for the selection and payment of the subscription plan.
Subscriptions are billed either through the Apple App Store (in-app purchase) or directly through our third-party payment processor, Stripe, Inc., depending on where the subscription is initiated. For Apple App Store subscriptions, billing, renewals, and refunds are governed by Apple's terms and conditions, and you must manage your subscription through your Apple ID account settings. For subscriptions initiated through our web portal, you authorize Robot Duck (through Stripe) to charge the payment method you provide for all applicable fees. You are responsible for keeping your payment information current. Failed payments may result in suspension or downgrade of the Service until payment is resolved.
Robot Duck may offer free trials or promotional pricing to new subscribers. Unless otherwise stated, free trials automatically convert to a paid subscription at the end of the trial period using the payment method on file. You may cancel at any time during the trial to avoid being charged. Promotional pricing applies only for the duration stated at the time of the offer, after which standard pricing applies. Robot Duck reserves the right to determine eligibility for trials and promotional offers.
Subscription fees are non-refundable except as required by applicable law or the refund policy of the applicable payment processor (Apple App Store or Stripe). You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period, and you retain access to paid features until that date. Robot Duck does not provide pro-rated refunds for partial billing periods or for unused features. If you believe you have been charged in error, contact support@robotduck.app.
You agree that you will not, and will not permit any user within your organization to: (a) use the Service for any unlawful purpose or in violation of any applicable law, regulation, or these Terms; (b) attempt to gain unauthorized access to the Service, other accounts, or any system or network connected to the Service; (c) interfere with, disrupt, or impose an unreasonable load on the Service or its infrastructure; (d) reverse engineer, decompile, or otherwise attempt to extract the source code of the Service, except to the extent expressly permitted by law; (e) use the Service to store or transmit malicious code, harmful content, or unlawful material; (f) impersonate any person or misrepresent your affiliation with any organization; (g) scrape, harvest, or otherwise extract data from the Service except through features we expressly provide; (h) resell, sublicense, or otherwise commercially exploit the Service without our prior written consent; or (i) use the Service to develop a competing product.
The Service allows you to upload photographs, documents, text entries, and other content ("User Content"), including aircraft records, squawk reports, flight log entries, and certificate images. You retain ownership of your User Content. By uploading User Content, you grant Robot Duck a limited, worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and back up your User Content solely for the purpose of operating and providing the Service to you and your organization. This license terminates when you delete the content or close your account, except to the extent the content remains in routine backups.
You are solely responsible for your User Content, including its accuracy, legality, and your right to upload it. You represent that your User Content does not infringe any third-party rights and does not contain any content that is unlawful, defamatory, or otherwise objectionable. Robot Duck reserves the right, but has no obligation, to review, remove, or disable access to any User Content that we believe, in our sole discretion, violates these Terms or applicable law.
The Service, including all software, designs, text, graphics, trademarks, logos, and other materials, is owned by Robot Duck or its licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service solely as expressly permitted by these Terms. No other rights are granted, whether by implication, estoppel, or otherwise.
Your use of the Service is also governed by our Privacy Policy, which describes what information we collect, how we use it, and the choices you have. For TieDown, the data you and your organization enter ("Organization Data") is stored on infrastructure operated by Cloudflare, Inc. in the United States. Organization Data is encrypted in transit and at rest. Uploaded documents (such as certificate images) are additionally encrypted with AES-256-GCM encryption. You and your organization are the owners of your Organization Data. Robot Duck does not claim ownership of Organization Data and will not use it for any purpose other than providing and improving the Service.
Administrators may delete aircraft, flight records, squawks, and other organization data from within the application. To request deletion of an entire account or organization, or to request an export of your Organization Data, email support@robotduck.app. We will respond to reasonable deletion and export requests within a commercially reasonable time. Some data may be retained in backups or as required by law for a limited period after deletion.
Robot Duck will use commercially reasonable efforts to keep the Service available, but the Service is provided on an "as is" and "as available" basis as further described in the Legal Disclaimer. We do not guarantee any particular level of uptime. Scheduled maintenance, third-party infrastructure outages (including outages of Apple, Cloudflare, or Stripe systems), software defects, and circumstances beyond our reasonable control may cause interruptions to the Service.
Robot Duck reserves the right to modify, enhance, add, remove, or discontinue features of the Service at any time, with or without notice. We will use reasonable efforts to notify Administrators of material changes that meaningfully affect the functionality of a paid subscription. Robot Duck is not liable to you or any third party for any modification, suspension, or discontinuation of any feature of the Service.
From time to time, Robot Duck may offer beta or preview features that are clearly identified as such. Beta features are provided for testing and evaluation only, may contain bugs or errors, may change or be withdrawn at any time, and are not subject to any service level commitment. Use of beta features is at your sole risk.
You may terminate your account at any time by canceling your subscription (for Administrators) or by requesting account deletion at support@robotduck.app. Termination does not entitle you to a refund of any prepaid fees except as expressly stated in §10.
Robot Duck may suspend or terminate your access to the Service, in whole or in part, at any time and without prior notice if: (a) you violate these Terms or the Legal Disclaimer; (b) your payment fails and is not cured within a reasonable period; (c) we reasonably believe that continued access to the Service by you poses a security, legal, or reputational risk; (d) we are required to do so by law, regulation, or legal process; or (e) we discontinue the Service. In the event of discontinuation of the Service, Robot Duck will use reasonable efforts to provide advance notice to Administrators and to make Organization Data available for export during a reasonable wind-down period.
Upon termination, your right to access and use the Service immediately ceases. Provisions of these Terms that by their nature should survive termination — including ownership, disclaimers, limitations of liability, indemnification, and governing law — will survive.
YOUR USE OF THE SERVICE IS GOVERNED BY THE WARRANTY DISCLAIMERS, LIMITATIONS OF LIABILITY, ASSUMPTION-OF-RISK PROVISIONS, AND INDEMNIFICATION OBLIGATIONS SET FORTH IN OUR LEGAL DISCLAIMER, WHICH ARE INCORPORATED INTO THESE TERMS BY REFERENCE. WITHOUT LIMITING THE FOREGOING, YOU ACKNOWLEDGE THAT TIEDOWN IS NOT AN FAA-APPROVED MAINTENANCE TRACKING OR RECORD-KEEPING SYSTEM AND DOES NOT REPLACE OFFICIAL AIRCRAFT LOGBOOKS REQUIRED BY 14 CFR § 91.417. AIRWORTHINESS DETERMINATIONS MUST BE MADE BY A CERTIFICATED A&P MECHANIC OR AN FAA-DESIGNATED INSPECTOR, NOT BY RELIANCE ON DATA DISPLAYED IN THE SERVICE.
You agree to defend, indemnify, and hold harmless Robot Duck LLC and its members, managers, employees, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your User Content or Organization Data; (c) your violation of these Terms, the Legal Disclaimer, or any applicable law; (d) any action or inaction of any user within your organization; (e) any dispute between members of your organization; or (f) any maintenance, scheduling, or airworthiness decision made using information from the Service.
These Terms are governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Minnesota, and you consent to personal jurisdiction and venue in such courts.
Robot Duck may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, for active subscribers, will make reasonable efforts to notify Administrators by email or in-app notice. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, your sole remedy is to stop using the Service and cancel your subscription.
Entire agreement. These Terms, together with the Privacy Policy and Legal Disclaimer, constitute the entire agreement between you and Robot Duck regarding the Service and supersede any prior agreements on the subject.
Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms or any rights under them without our prior written consent. Robot Duck may assign these Terms in connection with a merger, acquisition, or sale of assets.
Relationship. Nothing in these Terms creates an agency, partnership, joint venture, or employment relationship between you and Robot Duck.
Third-party beneficiaries. These Terms do not create any third-party beneficiary rights.
